1. Who we are
These terms are between you and Varigro LLC ("Varigro," "we," "us"). Contact: contact@varigro.com. Governing law: South Dakota, United States, without regard to conflict-of-law rules.
2. The service
Varigro is decision-support software. It helps you compare estimated fertilizer and seed rates, dollars versus a flat-rate benchmark you choose, and export application files (including shapefile ZIPs with a TargetRate field that some applicator displays can load).
Varigro is not a Certified Crop Adviser, agronomist, custom applicator, fertilizer dealer, or licensed professional. Maps, rates, yield figures, and savings figures are estimates generated from your inputs, soil tests, satellite and public soil data, and published nutrient equations. They are not a guarantee of yield, profit, nutrient sufficiency, or environmental outcome.
3. Your responsibility for application
You set min and max rate rails. You review, edit, and accept any map before it is loaded into Raven Slingshot, a USB stick, or any other display or applicator. You are solely responsible for application rates, timing, product choice, look-ahead settings, and whether to apply. Many growers still review a map with an agronomist before they apply. You should do so if you need professional advice.
Exported files are provided as-is. Compatibility with Raven, Slingshot, or any other brand is not a warranty. Those names are used only to describe file formats growers already use. They do not endorse Varigro.
4. No third-party endorsement
Varigro is not affiliated with, endorsed by, or certified by South Dakota State University, SDSU Extension, Raven Industries, Slingshot, or any university, equipment maker, or soil lab. Nutrient math may follow published extension-style equations. That does not mean those institutions reviewed or stand behind a Varigro map.
5. Accounts
You must provide accurate information and keep your password confidential. You must be able to form a binding contract. Invite-only signup does not change these terms. We may suspend or terminate accounts that we believe violate these terms or create risk for other growers or the service.
6. Your data
You retain rights in the data you upload (farm names, field boundaries, soil tests, prices, and related files). You grant Varigro a limited license to store and process that data solely to provide, secure, and improve the service. See the Privacy Policy.
7. Acceptable use
Do not misuse the service, attempt to access another grower's data, scrape or resell outputs as if they were independent professional recommendations, or use the service in a way that violates law. Do not upload data you do not have the right to use.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that estimates, maps, or exports are accurate, complete, or suitable for your field, crop, equipment, or weather.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VARIGRO AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS ARE NOT LIABLE FOR CROP LOSS, OVER-APPLICATION, UNDER-APPLICATION, ENVIRONMENTAL HARM, EQUIPMENT DAMAGE, LOST PROFITS, LOST DATA, OR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE FEES YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU PAID NOTHING.
10. Indemnity
You will defend and indemnify Varigro against claims arising from your use of the service, your application of rates or files generated by the service, your uploaded data, or your violation of these terms.
11. Changes and termination
We may change the product, these terms, or the posted version identifier. Continued use after we post a new version, or a new clickwrap acceptance when we require one, is agreement to the update. We may stop offering the service. You may stop using it at any time.
